Terms of Service

These Terms of Service ("Terms") are a binding agreement between Vyxr Labs FZE ("Swan", "we", "us") and the individual or entity that installs or uses Swan Power Dialer (the "Service"). By installing or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it.

1. The Service

Swan Power Dialer is a productivity tool that works inside GoHighLevel ("GHL"). It helps sales reps move through a list of contacts, place calls using GHL's own native dialer, and record the outcome of each call (a "disposition") by applying tags, saving a note, and updating custom fields in the Customer's GHL account. The Service does not provide telephone service or carrier connectivity of its own, and it does not place calls autonomously — a call is initiated only when a user clicks to call.

2. Eligibility and accounts

You access the Service through your GHL account; GHL provides authentication and billing. You are responsible for your GHL account, your users, and keeping credentials secure. You must be at least 18 and use the Service for business purposes.

3. Fees, trial and billing

The Service is offered on a subscription basis (currently US$10 per sub-account per month) with a free trial. All billing, trials, renewals, taxes and refunds are handled by HighLevel through the GHL Marketplace under its terms; we do not process your payment card. Unless the GHL Marketplace refund policy provides otherwise, fees are non-refundable. We may change pricing prospectively.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business use. You agree not to, and not to permit anyone to:

5. Calling and communications compliance — your responsibility

You are solely responsible for how you contact people and for complying with all applicable laws. Swan Power Dialer is a tool that acts at your direction; you — not Swan — are the caller, "seller", "telemarketer" and/or "sender" for all legal purposes. 6. Data and privacy

Our handling of data is described in our Privacy Policy and, for contact data we process on your behalf, our Data Processing Addendum, which are incorporated into these Terms.

7. Third-party services

The Service integrates with GoHighLevel and depends on it and other third parties (e.g. hosting). Your use of GHL is governed by HighLevel's own terms. Swan Power Dialer is independent and is not endorsed by, sponsored by, or affiliated with HighLevel, Inc. We are not responsible for third-party services, their availability, or changes they make that affect the Service.

8. Intellectual property

The Service, including its software, design and trademarks, is owned by Swan and its licensors. These Terms grant no ownership. You retain all rights to your data.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, that calls will connect or be free of spam labelling, or that it will meet your requirements or comply with laws applicable to your business.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAN AND ITS OWNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY FINES, PENALTIES OR STATUTORY OR TCPA/TELEMARKETING DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You will defend, indemnify and hold harmless Swan and its owners, employees and suppliers from and against any claims, damages, liabilities, fines, penalties, and costs (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your calls, messages, or contact of any person; (c) your violation of any law (including the TCPA and telemarketing, Do-Not-Call, recording, privacy or data-protection laws); (d) your contact data or lack of required consent; or (e) your breach of these Terms.

12. Term, suspension and termination

These Terms apply while the Service is installed or in use. You may stop at any time by uninstalling the app in GHL. We may suspend or terminate access, with or without notice, for violation of these Terms, legal risk, non-payment (as handled by GHL), or discontinuation of the Service. On termination, your licence ends; Sections that by their nature should survive (including 5, 8–11, 13) survive.

13. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, without regard to conflict-of-laws rules. The courts of Sharjah, UAE will have jurisdiction, unless the parties agree in writing to binding arbitration. Nothing here limits mandatory consumer rights you may have under your local law.

14. Changes to these Terms

We may update these Terms; the "Last updated" date will change and, for material changes, we will provide reasonable notice. Continued use after changes take effect is acceptance.

15. Miscellaneous

These Terms, with the Privacy Policy and DPA, are the entire agreement between you and Swan regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control.
